Worked with the Project Finance team in advising banks, financial institutions and Indian and offshore companies on the financing, refinancing and restructuring aspects, borrowings and bond issuances: • Provided legal advice on queries pertaining to inter alia provisions Insolvency and Bankruptcy Code, SARFAESI, banking law, property law, contract law. • Drafted loan agreements and debenture trust deeds in relation to borrowings, refinancing and availment of external commercial borrowings, and debenture issuances, respectively.• Reviewed the EPC contracts from an Indian law perspective while advising clients.• Provided advice on the various investment options available for investing in India under the debt and equity routes.• Drafted other agreements such as inter alia the trust and retention accounts agreement, amendment agreements, deed of indemnity, indenture of mortgage, deed of hypothecation, deed of pledge, security trustee agreement, inter-creditor agreement, and other debenture related documents, as per the requirement of clients.• Undertook diligence of various companies in relation to the proposed acquisition financing.• Assisted in the legal aspects of the bid submission for various solar projects under inter alia the JNNSM mission.• Reviewed the bid documents – RfS, PPA, VGF Securitisation Agreement etc. in relation to the solar power projects.• Acted as the point of contact in my capacity as the Indian legal counsel and coordinated with legal counsels from various jurisdictions, in relation to a matter.
