After corporate life, set up a solo practice, working from both a home office and on-site at client companies. Provide advice and tend to commercial transactions, contract drafting negotiation and review, IP licensing, buy/sell agreements and strategic advice for tech companies, both emerging and established. Currently working remotely, open to contract attorney opportunities.

Managed world wide law department for the rebranded CUC/Cendantsoftware/gaming company acquired by Paris-headquartered Vivendi SA. The company, comprised of multiple software brands was purchased from the former Cendant Corporation for $800+ million. It was known for children's educational and adult gaming titles under the brands of Blizzard Entertainment (now part of Activision Blizzard, a publicly traded company) and Knowledge Adventure. Concentrated in areas of law critical to the company including software licensing, employment, compliance with FTC regs and antitrust laws, sales, distribution and related marketing and advertising matters.

Promoted to SVP and General Counsel after acquistion by the successor in interest to Davidson & Associates, Inc. Davidson was taken private and merged with the assets of Sierra On-Line, an industry leader in video gaming, in a large stock acquisition by CUC International ($1.1 billion), a publicly traded company. CUC became Cendant Corporation when it combined with HFS Corp. Grew the law department to handle responsibility for a growing portfolio of software brands acquired by the company such as the Knowledge Adventure line of educational software as well as the manufacture and distribution of titles in CD format. Participated in deal team that sold the company to Vivendi, SA ($800+ million).

Established first law department at this NASDAQ traded, industry leader in educational computer software for children where I also served as Secretary to the Board of Directors. Among Davidson brands were the Blaster series of titles (Math, Reading) and Blizzard Entertainment as it developed and released Warcraft, Starcraft and Worlds of Warcraft. Was part of senior management deal teams for multiple acquisitions of smaller software companies, created war rooms for due diligence/document review. Grew the department to attend to legal work coming from all major divisions, counseled creative teams and corporate officers in all areas of law related to development, distribution and licensing of software games.

Joined company as a law clerk during law school, then hired as amember of the in-house law department at corporate HQ in New Jersey. Spent five years there with a growing number of division clients. Drafted and negotiated agreements, gave antitrust law seminars, counseled company divisions including consumer products, warranty service and growing computer hardware group. In 1989, established first office on the west coast for legal services within the company. Commuted between northern and southern California regional offices to counsel business clients and negotiate transactions. Grew department through new hires then transitioned operation to San Jose California in 1994. Worked with computer hardware groups both OEM and retail, the nascent Sony game console business as well as consumer sales/products groups. Advised on proposed and current business partnerships with Silicon Valley companies including Dell, Oracle and Apple.
