I head the Legal and Compliance Function for Concierge Auctions, the world's largest luxury real estate auction marketplace. The company's owners include Sotheby's - the world's oldest and leading auction house established in 1744, and Anywhere Real Estate (NYSE: HOUS) - the world's most extensive agent network.The Company is run by its founders; it's platform is enhanced with deep auction expertise and heritage, innovation, and access to an unmatched network of fine art and luxury goods collectors. Concierge Auctions has completed transactions in 38 countries and 46 US states.

As the head of legal for a fast-growing property technology company, I manage all legal aspects, including general corporate matters, commercial contracts, privacy and data security, employment and litigation, intellectual property, technology licensing, compliance, and legal operations. I oversee all legal aspects of new-market entry and acquisitions. Along with the Chief Risk Officer, I designed and implemented Enterprise Risk Management systems and controls and internal governance policies. I serve as a liaison with external parties, including regulators, external counsel, clients, and shareholders, and am responsible for the corporate governance function as the corporate secretary. Additionally, I directed the drafting and implementation of the company's long-term equity incentive plans for all employees and shareholders.

As General Counsel for the Esplanade Equity group of companies, I provided legal and business guidance to multiple industries, including real estate services, technology, insurance, and property management. I directed the legal functions of the real estate management subsidiary, which oversaw over 40,000 residential units with more than 350 employees throughout its multi-state operations. I supervised outside counsel in litigation and transactional matters involving millions of dollars in controversy. I managed corporate governance and compliance operations. I directed M&A activities, including the acquisition of a competitor in an operating sub-market. I negotiated, drafted, and executed client and vendor contracts, implemented document control procedures for contracting, and provided legal guidance on state-specific lobbying efforts related to fund companies. I implemented policies for the organization on labor and employment issues and best practices.

As the General Counsel for LM Funding, I oversaw the company's transition from a privately held Florida LLC to a publicly traded Delaware for-profit corporation. I attended investor IPO deal-roadshows alongside the CEO and CFO to explain our complex business model to retail and institutional investors. I supervised outside counsel and regulatory filings with the Securities and Exchange Commission, participated in creating and drafting 8-K, 10-Q, and 10-K filings, and served as the Secretary of the corporation, directing corporate governance and compliance operations. I managed and negotiated the purchase and sale of corporate assets with transaction values in the millions and negotiated, drafted, and executed client and vendor contracts as the organization grew from $2mm to over $100mm in receivable base. I participated in the development and implementation of the organization's litigation and collection strategy, managed ongoing collection and business operations, and provided legal counsel for business operations and strategic planning. I educated business clients on the complexities of Florida's Condominium and Homeowner's Association Act and represented the organization in public communications, including authoring articles, speaking on industry panels, giving testimony to state officials, and sitting for deposition as an officer and corporate representative.

As an associate at Healthtrust I conducted on-site property inspections for appraisal studies and market analysis, utilizing discounted cash-flow modeling, sales comparison modeling, and cost-based modeling approaches to arrive at value conclusions for healthcare facilities with values in the millions. I created narrative reports that required writing and critical thinking to deliver concise, accurate accountings of the subject and its competitors. Additionally, I surveyed and solicited market participants to provide supply and demand analysis for seniors' healthcare facilities and performed tax assessed value and comparable analysis for subject properties, along with analysis of the likelihood of future tax adjustments.
