Abby handles general corporate, domestic and international mergers and acquisitions, securities regulation matters and corporate governance issues. More generally, she also serves as the relationship partner to more than 50 global clients in a breadth of high-risk regulatory and commercial markets, including financial services, government contracting and pharmaceuticals. Acting as a single point of contact, Abby applies a holistic approach to the global legal needs of each client and participates in executive strategic discussions and board of directors’ dialogues.My M&A representations span both the buy- and sell-side, with purchase prices ranging from a few million to several billion. My breadth of expertise is built on transactions including selling a small privately-held company and walking the owner through the process step-by-step, to managing the buy-side of a complex, international transaction spanning multiple foreign jurisdictions - and many transactions between. I handle securities law issues, representing both public companies (including public offerings and periodic reporting requirements under the Securities Exchange Act of 1934) and underwriters in their offering activities. I also advise clients on corporate governance issues, including corporate reorganizations and counseling boards and company officers on corporate governance and fiduciary duties. Additionally, I deliver prior experience serving as the corporate secretary of several public companies within the government contracting and financial institution markets. I spend a large portion of time helping clients address unique challenges with inventive resolutions. I am passionate about keeping on top of emerging industry trends, and enjoy leveraging creativity and resourcefulness in my regular practice. I consider it an honor to invest time in training others and participate in peer forums designed to share ideas.
