Provide legal counsel, contract drafting, deal structuring analysis, and business development for all aspects of investment structuring and real estate transactions, totaling over $700M. Review and negotiate franchise agreements (Marriott, Hilton, IHG), debt and equity financing, joint venture agreements, purchase and sale agreements, hotel management agreements, title review, contribution agreements, development agreements, and construction agreements. Manage a private REIT.

LDHG manages hotels across the United States. My work included employment law and HR issues, insurance, liquor licensing, and negotiation of management agreements and vendor contracts.

Reviewed, edited, and drafted 6 domestic and 7 international purchase and sales agreements with values ranging from $200,000–$25,000,000. Negotiated and communicated directly with opposing counsel on 6 contracts. Worked with internal business clients, including engineers and sales representatives, to understand and develop negotiating strategy.

Assisted with many aspects of trial practice on personal injury, property damage, and property disputes in Utah, Nevada, and Idaho with claims ranging from $500,000 to $10,000,000. Drafted motions, briefs, and deposition outlines. Attended and took detailed notes on 2 depositions and 2 trials.

Drafted sections of an appellate brief regarding the excludability of expert witnesses in State v. Wright, a murder conviction on appeal to the Utah Court of Appeals.
