-participating in the negotiation salient terms of projects and transactions;-conducting legal due diligence investigations including vetting all agreements and documents relating the company, the business, the shareholders, directors and agreements relating to the client’s service level agreements, lease agreements, etc;-attending credit committee and EXCO meetings as part of the transaction team, at which meetings solutions are recommended by myself in respect of existing and potential legal risks that IDC may encounter as Lender;-drafting finance agreements including loan agreements and collateral security agreements such as suretyship agreements, guarantees, cessions, pledges, shortfall undertakings and waivers of builder’s liens;-drafting project agreements including memoranda of understanding, co-operation agreements and joint development agreements-drafting agreements relating to IDC’s business, such as Service Level Agreements, Joint Development Agreements and Security Sharing Agreements;-instructing panel attorneys to register mortgage bonds, general notarial bonds and special notarial bonds;-managing relationships with panel attorneys and provide all possible assistance to ensure a good working relationship;-monitoring the progress of panel attorneys’ services and ensure that the quality of the service provided by the panel attorneys is acceptable and timeously executed;-employing basic contract management techniques to ensure that transactions are concluded timeously and to ensure that the certain agreements, example lease agreements, are renewed timeously; and-managing the legal aspects of lease agreements which IDC concludes in respect of its numerous regional offices around the country. This duty includes vetting, negotiating and amending lease agreements when initially concluded and amending lease agreements when they are renewed

-drafting finance agreements, including loan agreements and collateral security agreements, concluded between NHFC and developers of low-cost housing projects and gap housing projects;-drafting service level agreements;-vetting and reviewing all agreements and documentation relating to the agreements concluded between NHFC and the developers of low-cost housing projects and gap housing projects;-liaising with government representatives and other stakeholders and external legal service providers; and-instructing and managing relationships between the NHFC and external legal service providers.Additional duties included: -researching and interpreting all legislation affecting NHFC, advising management on aspects of legislative compliance and assisting with monitoring of relevant legislation;-conducting anti-money laundering checks on NHFC’s clients and related parties;-assisting with the drafting and reviewing of policies and procedures and providing legal opinions on new legislation affecting the NHFC;-legal advisor to the NHFC’s Safety and Security Committee;-legal advisor to the NHFC’s Health and Safety Committee; -legal advisor to the NHFC’s Procurement Committee;-First Aid Officer; and-Fire Marshall.
