• Negotiate, structure and implement development, production, financing and distribution deals for narrative and documentary motion pictures, including agreements for talent (above-the-line and below-the-line), underlying rights, movie acquisitions (as distributor or licensor), negative pick-ups, production financing/distribution arrangements, company equity investments, co-financing, sales and production services. • Manage and advise on all aspects of production and distribution (e.g. on-set protocols, form agreements, music licensing, equipment/locations, revenue collection/disbursement, credit/marketing obligations, movie release strategies, tax incentives, guild matters, insurance, clearance and risk assessment), to effectuate and improve internal/external logistics, to anticipate, identify and practically resolve business/legal issues, and to ensure timely compliance with on-going obligations with strong attention to detail. • Advance narrative/documentary development by constructing a form rights option/acquisition agreement (e.g. screenplays, books, articles etc.) for movies and television with explanatory notes, prescribed gives, alternative provisions dependent on a variety of scenarios and approval guidelines, so that internal processes are clear, standards/practices are consistent and attorneys have all resources at hand for drafting/negotiating. • Communicate with and incorporate input from creative, sales, marketing and finance departments for internal alignment, clarity and support.• Supervise, direct, and manage attorneys and administrative staff to optimize efficiency and growth.

Business & Legal Affairs Executive to preeminent independent production, finance and distribution companies in the motion picture industry. Responsibilities include:* Draft and negotiate a variety of development, production, financing, and distribution agreements including:- Distribution agreements with major studios and independent distributors and related distribution documents, including delivery schedules and sales agency agreements;- Financing structures and agreements for equity and debt investments in motion pictures, film funds and related financing documents, including completion guaranties and completion agreements; - Rights acquisition (screenplays, books etc.), actor, writer, director and producer agreements;- Corporate operating agreements, company equity agreements, membership interest agreements, subscription agreements, bylaws, resolutions, and contribution agreements;- Key below-the-line agreements (e.g., director of photography, editor, production designer etc.); and- Production services agreements, co-production agreements (international and domestic), VFX agreements, laboratory/facility agreements, music licenses, location/equipment and vendor agreements. * Provide business affairs and legal advice to producers, executives and crew during the development, financing, production, post-production, delivery and distribution of projects.* Production counsel for independent and major studio productions; manage guild signatory process and liaise with guilds as to other production-related issues (deposits, credits, reserves, etc.).* Oversee legal and physical delivery to domestic and international distributors; prepare main and end title credits; draft paid ad and obligation and restriction talent memoranda.* Train/supervise junior attorneys.
