• Actively engaged in various legal practice areas particularly:• Corporate Law- Rendered legal advice to companies on corporate governance and prepared/reviewed company policies in line with best practices and the relevant provisions of CAMA. Prepared/reviewed legal documents and advised on legal matters that pertain to corporate business. Provided company secretarial services to Boards of Directors, Advisory Boards and Board Committees. Acted as a liaison between clients and the Corporate Affairs Commission (CAC) and other relevant government agencies.• Real Estate- Advised clients on the purchase or sale of real properties. Carrying out due diligence at the relevant Land Registries to ascertain root of title. Prepared legal documents for real estate transactions including conveyances, mortgages, leases and tenancies. Handled the registration and perfection of real estate documents.• Capital Market- Served as a liaison between clients and the Securities & Exchange Commission. Ensured that clients act in strict compliance with SEC Rules, Guidelines, Circulars and Codes of Conduct. Procured the necessary approvals and providing legal advise on capital market activities including mergers/acquisitions and public offers. Involved in legal advice for collective investment schemes and market funds. Prepared the legal documents required for public offers. • Pensions- Rendered advise on pension matters to Pension Fund Administrators and Pension Fund Custodians. Provided legal advise on the novel Micro Pension Scheme. Acted as liaison between clients and the National Pension Commission (PenCom), and ensured that clients comply with the PenCom’s Circulars, Codes, Frameworks, Guidelines and Regulations. • Regulatory & Compliance- Advised clients on regulatory and compliance matters that pertained to their businesses. Acted as liaison between clients and industry regulators including CAC, SEC, PenCom, FIRS, FCCPC and other government agencies as required.
