Executive General Manager, Corporate & Director
CurrentAs a member of the APAC executive team and the global legal leadership team, I am responsible for decisions around cost base and new business development while overseeing a portfolio of functions across HR, legal, IT, ESG, Corporate Services, M&A, risk & governance. My role has global exposure and I serve as Modulaire Group’s APAC M&A and corporate development manager responsible for identifying potential M&A opportunities in Asia Pacific that align with long-term corporate strategy, developing business cases and presentations for strategic initiatives, and driving day-to-day execution of acquisitions from valuation and synergy analysis to due diligence and contract negotiations. Responsible for a team of 42 and internal and external stakeholder management, domestically and with the parent company in London, while serving as a director and board member of the Australian and New Zealand trading entities. Key outcomes include driving significant revenue through diversification, securing strategic partnerships with the AFL, QRL, Football QLD and Football NSW while overseeing negotiation of >300 complex construction, infrastructure, procurement, and other commercial contracts on average a year, including BHP Olympic Dam, Cross River Rail, NZ Defence, QGC and Ministry of Education (NZ). I oversaw the creation of a JV to establish our manufacture and hire business in China and have overseen Ausco’s growth in the NSW modular education market, leading the acquisition of NET Modular. I was key in facilitating TDR Capital’s sale of parent company Modulaire Group to Brookfield Asset Management and managed the APAC elements of a major global capital raise/bond tap. I am proud to have established the company’s APAC ESG function and team and helped Modulaire achieve its 5-year global GHG emissions targets 3 years early, negotiating the industry’s first power purchasing agreement to purchase large-scale energy generation certificates of Origin Energy’s Stockyard Hill Wind Farm.
Group General Counsel & Company Secretary
Headhunted into the group’s executive team as Group General Counsel by TDR Capital after they acquired Ausco Modular in 2011 to support growth, build a new legal, risk and compliance function and help guide alignment with other portfolio companies. I successfully managed the full life cycle of TDR Capital's ownership of the company, resolving corporate and governance issues, merging Ausco into the US-based Algeco Scotsman group while building a highly engaged, well-respected legal team, coaching staff to understand vision, strategy, and drivers of the business and how to serve as true enablers of business success. I also mentored several promising legal and non-legal future leaders on their Ausco career journeys.
Investment Committee Member & Non-Executive Director
CurrentAppointed for my expertise in M&A, business modeling, strategy, growth, and operations. Worked with a broader investment team to assess potential private equity investments, reviewed due diligence material, and worked closely with the committee chairman and former CEO of Pizza Hut Australia, to formulate integration and growth strategies for potential acquisitions. I was also appointed to the board of one of the firm's portfolio holding companies in 2020.
Non Executive Director
Appointed for my industry knowledge and my governance, M&A, growth, and operations experience. My role includes working with the chair, board, and CEO to develop corporate strategies, analyse M&A opportunities, and review business operations and financial performance for improvement and growth opportunities.
Group Legal Counsel & Company Secretary
Appointed to the executive team to assist a maturing business with mergers and acquisitions and establish legal functions for DMS and acquired companies. I advised the DMS Executive and Board on formulating and implementing its “roll-up” growth strategy, including evaluating M&A opportunities and managing/negotiating bolt-on acquisitions. I established the group’s legal function and was the sole legal counsel responsible for legal, risk, and compliance with a strong focus on complex contract drafting and negotiations with large mining and resource companies. I delivered a required private placement and subsequent private equity investment in DMS Group, advising the board on non-organic growth, funding, and integration strategies.
