Represents commercial banks, Farm Credit System associations, and other business and individual clients in lending transactions and a variety of other real estate, corporate, and regulatory matters. * Negotiates and drafts loan documents and security instruments, intercreditor agreements, confidentiality agreements, subordination agreements, negative pledge agreements, loan modification agreements, and other custom agreements. * Reviews Title Commitments, prepares closing instructions, reviews surveys and works with title companies to close multi-million dollar and multi-state transactions. * Drafts and negotiates commercial leases. * Performs duties of outside general counsel.

Specializes in consumer compliance regulatory matters, including all matters related to TILA, RESPA, ECOA, FCRA/FACTA, and other consumer compliance regulations. • Advises and trains employees regarding regulatory compliance matters, including consumer compliance (e.g., TILA, RESPA, ECOA, FCRA/FACTA, and Farm Credit Administration regulations). • Participated in work group consisting of select individuals from Farm Credit System bank and one other Farm Credit System association regarding implementation of new TILA-RESPA Integrated Mortgage Disclosure Rule and assisted in revising loan origination software to ensure compliance with new consumer compliance regulations. • Negotiates and drafts custom loan documents and security instruments, materialman’s and mechanic’s lien documents, intercreditor agreements, confidentiality agreements, subordination agreements, negative pledge agreements, loan modification agreements, settlement and forbearance agreements, and other custom agreements. • Drafts notices of default, notices of intent to accelerate, notices of acceleration, and foreclosure documents and notices. • Prepares materialman’s and mechanic’s lien documents and other interim construction documents. • Reviews Title Commitments, prepares closing instructions, and works with title companies to close multi-million dollar or multi-state transactions. • Drafts custom loan documents in connection with, and closes, large loan transactions involving collateral in one or more States (e.g., Texas, New Mexico, Oklahoma, Wyoming, Colorado). • Objects to and/or responds to subpoenas and other document requests. • Represents association Chapter 13 and Chapter 7 bankruptcy matters in which the association is a creditor. • Represents association in litigation matters, including breach of contract disputes and cases involving conversion, theft, and misapplication of fiduciary property.

Represented individuals and various business entities, including Farm Credit System associations and HVAC manufacturer and distributor, in a variety of litigation, bankruptcy, regulatory, and transactional matters. • Represented Farm Credit System associations and HVAC manufacturer and distributor in connection with breach of contract disputes, cases involving conversion, theft, and misapplication of fiduciary property, lease disputes, and manufacturer defect and property damage claims. • Served as primary outside counsel to HVAC manufacturer and managed disputes with customers across the United States, including managing out-of-state litigation with local counsel. • Conducted extensive training of multiple Farm Credit System associations with regard to the new consumer compliance regulations promulgated by the Consumer Financial Protection Bureau. • Drafted and sent notices of default, and notices of intent to accelerate, notices of acceleration, and foreclosure documents and notices. • Objected to and/or responded to subpoenas and other document requests served on Farm Credit System associations and other clients. • Negotiated and drafted non-disclosure and confidentiality agreements, subordination agreements, materialsman’s and mechanic’s lien documents, custom loan documents and security instruments, intercreditor agreements, loan modification agreements, supply and warehousing agreements, non-compete agreements, settlement and forbearance agreements, and other custom agreements. • Negotiated and drafted custom loan documents for Farm Credit System associations for multi-million dollar loans, including participations and a syndication.
