ASEC Cement is a platform for investments in emerging cement market in the Middle East and North Africa Region of Citadel Capital Private Equity. In principle I was involved in drafting, reviewing, and negotiating shareholders agreements, share purchase agreements, joint venture agreements and subscription agreements, MOUs, LOI, NDAs, as well as various commercial agreements including sale of goods, agency, and distribution agreements. This is in addition to conventional bilateral and syndicated facility agreements.In particular, I:advised Arab National Cement Company on a project finance syndication loan of EGP 1,820,000,000 to finance a greenfield cement plant of 1.5 million ton per year. The lead arranger was Arab African International Bank.advised ASEC Readymix on a bilateral loan of EGP 21 million with the Commercial International Bank (CIB) to finance three greenfiled batch plants.advised ASEC Cement on a bilateral loan of EGP 380 million with the Arab African International Bank. The purpose of the facility was to be used in general expansion plans of ASEC Cement.advised ASEC Cement on a mezzanine financing with a South African fund to finance the cement arm of ASEC Group in Egypt. advised on the corporate restructuring of ASEC Cement project in Algeria to achieve tax optimization, as well as, the best possible exist options without being confronted with local laws. This also includes drafting and negotiating of a Right of First Refusal Agreement with the Algerian Government.drafted, reviewed, negotiated civil works, steel structure and fabrication, EPC contracts for establishing power plants and quarries exploitation agreements of three green filed cement plants for ASEC Group.

I was leading the corporate/commercail team of the office including M&As. In particular, I:advised EFG Hermes in respect of the acquisition of six joint stock companies working in the tourism field. My role included performing of due diligence and drafting of the share purchase agreement, the shareholders agreement, and the Escrow arrangement. The value of the deal was EGP 440,000,000.advised Aridos Jativa S.L (La-Union) on their acquisition of a share in Arabian Cement Company and the capital injection undertaken after the acquisition, whereby the issued share capital of the Company has reached EGP 106,250,000. was a member of the team who represented Sanpaolo Group in the privatization process of the Bank of Alexandria, one of the largest Egyptian state owned bank and the first public sector bank that has been privatized in Egypt. The acquisition value was 9.6 billion Egyptian pounds.advised KINGDOM Hotel Investments on increasing a minority stake to a majority stake in two hotel owning companies located on the Red Sea and advised on restructuring plans in respect of these companies. advised Amwal Al Khaleej in relation to acquiring a stake in a leading beverage company. My advice has included carrying out full legal due diligence and advising on the related transactional documentation such as sale purchase contractsadvised Bloomberg, a major financial broadcaster and electronic data transmitter, in respect of their operations in Egypt. My work included advising on electronic financial data transmission.

Established various industrial and services multinational companies, such as Cemex Ready Mix Co., a multinational company specialized in producing ready mix concrete, with an authorized share capital of EGP 50,000,000. I liaised with GAFI to obtain the required approvals and permits which allowed the company from importing its equipment, pumps, mixers and transportation fleet required for its activity with a discount tariff rate of 5%.Drafted, reviewed, and negotiated supply agreements of raw materials and spare parts, upgrading of production lines, and maintenance and protective maintenance agreements required for Cemex Group (the leading cement producer company worldwide) to takeover the largest cement plant in Egypt and the Middle East.Member of the team worked on the merger between Assuit Cement Company and Assuit Services Company, and the revaluation of the nominal value of the shares from the Capital Market Authority after the merger. The merger ended up with an issued share capital of EGP 1,137,140,860.
