Job Purpose:Involve in Debt & Corporate Finance and Investment Banking Transactions acting as a manager in Debt & Corporate Finance “CF”. The business strategy includes identifying product offering, coordinating with other units in the Group, initiation and distribution of new transactions, and supervision of deal execution.Main Responsibilities:o Strategic Planning & Client Acquisition:- Assist in negotiating with different stakeholders and business.units within the group to identify the CF product offering.- Communicate/train corporate officers on different products and structures.- Assist effectively in the discussions with potential CF clients.- Assist in the discussions with product partners within the group.- Help to identify new clients/deals and coordinate the client acquisition plan with corporate banking team.- Help to incorporate cross-sell opportunities in productofferings.o Deal Execution:- Assume full responsibility for the execution and closure of transactions.- Develop and review info memos, credit approval requests, financial models, due diligence reports and legaldocumentation.- Ensure full adherence to all credit, risk, compliance andcontrol policies & procedures.- Continue to provide support to corporate banking, credit risk, and RCU on an ongoing management of the client/transaction.o Coaching and Training:- Recruit CF officers, transactors and analysts.- Supervise work plans and deal execution.- Ensure client pitches and mandate letters are technically and commercially sound.- Responsible for following all relevant operational procedures, and instructions so that work is carried out in consistent and controlled manner.- Ensure compliance with all relevant sanction and AML policies & procedures.

- Financial modeling.- Independent reports analysis.- Project agreements assessment.- Assuring a regular close monitoring of existing structured finance transactions as well as identifying key risks and material changes in the credit quality of transactions and credit counterparts.- Timely preparation and discussion of new credit proposals, memos and annual reviews.- Active involvement in refinancing or restructuring of any transaction in the portfolio in close cooperation with business lines.- Ensure regular analysis, review and rating assignment (in coordination with the business line / Front Office and the Risk department) of counterparties.- Development of weak/watch lists [quarterly] reports on the transactions in the portfolio.- Ensuring the necessary waiver requests and amendments are prepared and submitted to the Business Line / Front Office and Risk on time.- Ensuring that waivers and amendments' execution and legal and financial documentation are consistent with business lines and risk department decisions.- Collaborate and coordinate with Front Office / Middle Office, as the case may be, to provide information and support for the applicable checks and controls (e.g. at each drawdown request). Cooperate with Agent Bank / other banks involved ensuring actual monitoring of the respect of the information / financial covenants of the transactions as well as respect of other contractual obligations (e.g. margin ratchets, cash-sweep, mandatory prepayments, etc) in portfolio.- Liaise with the borrower and the Agent / others banks involved of the portfolio transactions as needed.- Regular follow-up of main portfolio indicators (ratings, LGD, EAD, RWA, commitments/CWA, etc).- Contribute to the GCA regular annual reviews and new credit files and reports, providing assistance in production of management reporting information.- Complying with internal procedures, guidelines and regulatory obligations.

o Structuring medium & long term loans pertaining to Green fields and/or existing blue ships locally and regionally in coordination with other financial institutions in which the process includes:-Analyze the feasibility study of the project and assess its reliability.- Preparing term sheets with the main customized terms and conditions of the transaction.- Writing full information memorandums to tease the market appetite for the transaction.- Building up financial models.- Prepare credit memos to be presented for obtaining needed internal approvals.- Writing request for proposals to appoint independentconsultants.- Assist legal department / legal consultant in drafting all facility agreements and associated legal documents.- Satisfying the conditions precedent to the facility utilization.- Coordinate the relation between the client and all participant banks when acting as Facility Agent.o Once financial closure is achieved :- Provide support to the operation team in different accounts opening relevant to each transaction.- Assist in following up with the Borrower to ensure that the various information covenants and undertakings listed in the Facility Agreement are met on regular basis including receipt of the various documents – financials etc.- Provide support to the operation team during the disbursement and payback of the facility (I.e. drawdowns, rollovers, repayments, cancellations, rate fixing etc.).- Handle the Borrower's requests on waivers and covenant changes, and other adjustment to ongoing loan when acting as a Facility Agent.- Obtain and review all security documents in cooperation with Credit Admin in compliance with agreed terms when acting as a security agent.- Provide support in preparing periodical presentations and status reports when required under the bank's policy.o Sample of Closed Deals:- SEMAF - USD 117M.- Palm Hills Developments - EGP 2.4 BN.- EGPC – USD 1.893 BN.- Building Material Industrial Co. - EGP 251 MM.
