Strategic advice to the CEO and member of the ExCom of the BUDefinition of legal strategyImplementation of the Ethics policies and program

• Strategic advice to the top management and senior officers in large and extra-large global wide projects at Group level (corporate transactions, BOT projects…).• Management of any related compliance issues.

• Building and development of a global wide legal team to support SUEZ growing digital and technological activity. Definition of the BU legal strategy, processes and standards.• Provision of business-oriented legal advice to executive senior management in the transition into new services and business models. • Report on risks & opportunities to the Group top management. • Definition, management and overview of compliance issues within the BU.

• Strategic advice to the CEO and senior officers as a member of the BU executive management team. • Restructuring of the BA legal department. Recruitment, training and management of local legal resources. • Development and management of 6 general counsels in the BU territories.• Direct implication and leadership of the BU key projects.

• Legal counseling in strategic highly complex international projects (PPP, BOT, DBO, concessions, litigations, M&A, corporate matters with global wide perimeter.• Regular member of SUEZ experts’ committees of contract management.

• Handle and provide drafting, counseling and overall transactional support to various technology, consulting and intellectual property licensing and development transactions, ranging from strategic to intermediate complexity of a global water services company.• Provide efficient, value-adding and strategic counseling and support on legal and contractual issues to various business units, such as business development, project/collaboration/alliance management teams by balancing the need for risk mitigation with appropriate risk taking and ensure the provision of effective, timely, practical and innovative counseling.• Provide legal and strategic support to subsidiaries, branches and joint ventures with both private and public partners.• Advise on formation of foreign sales corporations.• Lead, develop and guide a team of four in-house legal advisors and one assistant.

• Provide legal advice in the private and public sector (M&A, corporate transactions, incorporation of companies, administrative contracts, PPPs, intellectual property…).• Prepare, review and negotiate contracts (investment agreements, design and operation contracts, services agreements for maintenance, consultancy, distribution, license and sale of equipments…). • Prepare the legal documentation in the framework of bid processes as part of multidisciplinary teams. • Liaise with external and internal legal advisors.

• Participate in M&A and corporate restructuring processes.• Provide legal advice relating to the stock market regulations.• Provide assistance to the secretary of the board committees of listed and non-listed companies in the preparation of the corporate documentation and ordinary transactions.
