This involves considerable familiarity with corporate law and LLC law. As a long time active member of the Title 15/Business Associations Committee of the Section on Business Law of the Pennsylvania Bar Association I have had a hand in drafting the statutes governing the organization and operation of corporations, partnerships, LLCs, LLPs and other business entities, and I am the author and editor of the widely used three volume Pennsylvania Limited Liability Company Forms and Practice Manual, Data Trace Publishing Company (1999), for which I prepare annual supplements. Accordingly, I do a considerable amount of work with limited liability companies, from simple start-ups to complex economic arrangements. I also do a considerable amount of shareholder agreements for corporate clients and member agreements for LLC clients. I am also experienced in federal securities law. In November 2018 I was the recipient of the W. Edward Sell Business Lawyer Award presented by the Pennsylvania Bar Association Business Law Section "for his extraordinary contribution to the practice of business law in the Commonwealth of Pennsylvania."
