• Maintain active practice in securities regulation, mergers and acquisitions (M&A), corporate governance and general corporate work. • Serve as outside general counsel to several public and private companies. Outside general counsel services include being responsible for legal affairs and leading legal teams on contracts, corporate governance, dispute avoidance and resolution, regulatory/compliance, tax, employment, executive compensation, intellectual property and all other matters facing fast-paced, growth and mature companies. • Provide legal support to executive teams and boards of directors on a wide range of operational, financial, and strategic planning, including corporate planning, M&A transactions, joint ventures, intellectual property and data privacy. Responsible for public company reporting obligations and corporate secretarial functions, including governance and counseling needs of boards of directors and their committees. • Assist clients with defining and managing their corporate policies and procedures and provide counsel and guidance regarding the various rules and regulations applicable to a particular client, as a publicly traded or private company. • M&A practice includes advising clients on all aspects of M&A transactions including diligence, drafting, negotiating and closing, with deal sizes ranging from hundreds of thousands to hundreds of millions.• Regularly assist emerging growth and mature companies on a broad range of corporate finance and business transactions, including venture capital and private equity transactions, private securities offerings, registration statements under the Securities Act of 1933 and other debt and equity financings.
