Key points of discussion centered around a valuation gap based on EBITDA adjustments and the use of a blended revenue multiple for profit sharing based revenue vs fee-based revenue‒ Project Strive: Buyout of remaining percentage of 10-year JV between a European based reinsurance broker and MMC. The deal was the culmination of the JV per original discussions, with a total transaction value of ~$20M. Prior SPA terms had outlined pricing as well as Tag along, Drag along rights for both parties, making the process streamlined. The key point of discussion was around compensation and benefit adjustments due to entity architecture that had been constructed for tax benefits and the resulting impact to seller’s assumed EBITDA
