As a Director on the commercial real estate team, I lead the risk and insurance advisory review for significant commercial mortgage-backed securities (“CMBS”) transactions on behalf of our lender clients. Within this role I negotiate legal documents related to the insurance components of each transaction, including the mortgage loan agreement, post-closing obligations, leases, management and franchise agreements and condominium documents.Collaborate with borrower risk managers and insurance representatives, third-party vendors, and related counsel to analyze the proposed insurance coverage and to ensure federal banking regulations, rating agency securitization requirements and closing deadlines are met in a timely manner.

• Represented commercial lending institutions, in the negotiation and drafting of documents related to acquisition loans, construction loans and permanent financing, including residential, retail, office and industrial projects.• Negotiated, reviewed and drafted documents for corporate and real estate transactions, including commercial and residential real estate, corporate formation and governance including shareholder, buy-sell and operating agreements, licensing and trademark agreements.• Oversaw the corporate maintenance and records of firm’s corporate clients.

•Performed legal research on new IRS voluntary disclosure programs and other tax compliance issues, commercial trade matters, federal banking statutes, and the Immigration and Naturalization Act.•Drafted commercial and residential real estate contracts including leases and sales of property.•Updated trust and estate documents to comport with new instructions from clients.•Drafted corporate governance documents, including written consents, proxy letters, shareholder agreements, amendments to operating agreements, stock ledgers and trademark filings.•Worked on probate matters, including drafting Petitions and Motions, correspondence with the court and legal research.
