• Perform contract management duties and processes for Research and Development division of Questcor Pharmaceuticals.• Prepare and execute signature of contracts including, confidential disclosure agreements, consulting agreements, master agreements, patents and other related client contract matters, i.e., addendum, amendments, etc. • Prepare Consulting agreements based on analyzing offers and prior research work with Questcor Pharmaceuticals to determine hourly compensation.• Manage the contract database and work closely with Finance department to upload, monitor and track contracts utilizing DocLink system. • Develop standard contract documents based upon company template and forward to client for review/execution.• Assist Research and Development with the compilation of information and specifications to complete the necessary documents for signature and review by client and/or legal department.• Track contractual documents to ensure their timely execution. • Negotiate business arrangements; draft contract terms and conditions for Master Purchase Agreements, Professional Services Agreements, Maintenance and Support Agreements. • Oversee contracts signed by the company to ensure each agreement compiles with original terms and conditions; review clinical trial agreements, contract amendments, addenda, and extensions.• Act as a liaison between Questcor and vendors; interact with legal counsel and manage outside counsels’ involvement with legal issues. • Assist Research and Development with the preparation of justification documentation for approval on scope of work over $150,000.• Utilize concrete judgment, initiative and tact in knowing when to escalate to upper management any minor conflicts arising from contract(s).
