As a lawyer at Milbank LLP, I have advised sophisticated, market-leading corporations, banks, institutional investors and fund managers in their most challenging commercial and financial transactions, finding innovative ways to create value and reduce risk. For over 30 years, I have handled complex transactions in the United States, Canada, Latin America, Asia and Europe with an aggregate value of over $100 billion.Focused on energy and infrastructure project finance and development, my practice encompasses private equity, corporate strategy, joint ventures, mergers & acquisitions, acquisition finance, capital markets, private placements, international and cross-border business transactions, public-private partnerships, banking and regulatory matters, construction and engineering, environmental permitting, technology, and a wide range of commercial contracts.I am a Senior Fellow at the Columbia Center on Sustainable Investment (CCSI), a joint center of Columbia University’s Law and Climate Schools. I have taught for over 15 years at the University of California, Berkeley Law School and Haas School of Business and will also teach a clean energy transactions course at UCLA Law School starting in Spring 2025.I created and host the podcast “Law, Policy & Markets: Milbank Conversations” to explore at a deeper level how law, policy and markets dynamically intersect around the globe. I am a Contributor to Forbes, speak frequently on energy, infrastructure, climate, business strategy, public policy, and international transactions, and have been interviewed and quoted in The New York Times, Los Angeles Times, POLITICO Pro, CNN Business, Bloomberg, S&P Global Market Intelligence and other media outlets.Previously I interned at UNIDO’s Special Advisory Group on Energy in Vienna, served as a legislative aide to a member of the US Congress, and was as a member of a USAID team in India advising on energy sector reforms. The most satisfying parts of my career have been building teams and fostering collaboration across disciplines and cultures to find creative solutions to diverse challenges. I hope the deals I work on result in a more efficient and equitable allocation of capital to make the world a better place through clean and renewable energy, transportation, water, airports, ports, digital networks, and other infrastructure projects critical to economic growth, sustainability and resilience._______________* All views expressed are mine and should not be attributed to Milbank LLP or any of our clients.

Senior FellowColumbia Center On Sustainable Investment Nov 2024 - PresentNew York, UsCCSI is a joint center of the Law and Climate Schools at Columbia University. CCSI collaborates with governments, investors and communities to achieve climate goals and engages with political, economic and regulatory systems to reshape policies, laws and private sector approaches to sustainable development. We draw on the expertise of faculty and other experts in business, law, engineering, and other fields. Our team incorporates a diverse range of regional, legal, thematic, and sectoral expertise. We try to anticipate and stay ahead of emerging trends and challenges, and to approach our research and engagements holistically, embracing and engaging with complex systems. We take an iterative approach that combines rigorous research with technical support and training programs that help partners translate vision into action. CCSI’s work proceeds from a conviction that the world needs to mobilize trillions of dollars in new investment to achieve the UN Sustainable Development Goals and accelerate the energy transition. Ambition is just as important as pragmatism. Sustainable solutions need to be just and equitable. With this in mind, we work to identify and realize new pathways to progress for governments, financial institutions, and global businesses. -
Adjunct LecturerUniversity Of California, Berkeley Jan 2008 - PresentBerkeley, Ca, UsAdjunct faculty member at the UC Berkeley School of Law and (previously) the Haas School of Business, teaching courses on Energy and Infrastructure Project Finance and on Structuring and Negotiating Complex Financial Transactions. -
LecturerUniversity Of California, Berkeley, Haas School Of Business Jan 2008 - May 2020Berkeley, Ca, UsTaught "Energy & Infrastructure Project Finance" in both the full-time MBA and the EWMBA programs at Berkeley Haas from Spring 2008 through Spring 2020. This interdisciplinary course covered key financial, commercial, legal, economic, technology and policy issues affecting the development and financing of complex infrastructure projects, with special emphasis on risk management and valuation issues, capital sources, project development, and investments in alternative energy. These topics were discussed using practical, real-world case studies of transactions in renewable energy, toll roads, rail projects, water systems, airports, natural resources, and large entertainment facilities.Business students (together with graduate students from the law, public policy and engineering schools at Berkeley) explored key risks and incentives to mobilizing capital to meet the growing demand for clean power and critical infrastructure. My students gained an understanding of the following concepts:• how commercial and financial interests, technological innovation, regulation, private contracts and market factors dynamically interrelate• how to optimize and analyze financing structures, leverage and investor return• how various project risks are identified, allocated, mitigated and priced, and the roles of contracts, governance, hedges and insurance products in managing and reducing risk• how regulatory incentives and public policy choices either curtail or facilitate particular investment opportunities and technologies, often in unintended ways• how to approach tradeoffs between short- and long-term value creation and liquidity, maximizing debt capacity while preserving optionality, and competing stakeholder interests• how to handle asymmetric information in transactions efficiently and ethically The MBA course was also cross-listed for JD and LLM students at the UC Berkeley School of Law in Spring 2008, Spring 2009, and from 2011 through 2013.
