I also have experience in the private placement of securities for both publicly-held and private companies and preparing related state "blue sky" filings.

Performed legal research on a range of corporate issues, focusing on federal regulatory compliance matters. Drafted multiple legal documents, including Purchase Agreements, corporate resolutions and various compliance policies. Researched various federal statutes including Foreign Corrupt Practices Act and performed gift and gratuity review for corporate events.
