Direct all company legal affairs. Advise senior management on risk management and corporate governance policies. Draft, review, negotiate and edit company contracts and formal communications, including employment agreements, partnership agreements, and vendor agreements. Oversee internal compliance department and its review of advertising campaigns for compliance with federal, state and local regulations, including CAN-SPAM, the Truth-in-Lending Act, and the Consumer Leasing Act. Assist and coordinate with outside counsel on matters involving litigation. Work with Operations team to develop and implement procedures on a continuing basis. Collaborate with Creative, Sales, and Marketing departments to produce approved sales and marketing material.

Worked closely with the General Counsel and Associate Counsel to formalize various aspects of the legal department. Assisted with drafting of International Trademark Licensing Agreements, Artist Performance Agreements, and various Service Agreements. Provided litigation support. Developed new filing system and assisted with the transition to online platforms for project management and file sharing.

Drafted content for Artist’s soon-to-be published music handbook and instructional guide, along with Artist’s blog. Assisted with copyright and trademark registrations for the artist’s songs, logos, music videos, and album artwork. Developed template forms for copyright and trademark transfer, master use licensing, and synch licensing agreements. Participated in college music radio promotional campaign.

Managed groups of interns in the development of hypotheticals and answer memoranda. Contributed to and edited the program’s student- run legal ethics blog. Researched ethical issues and developed ethics-based hypotheticals tailored to the concerns of local law firms and nonprofit organizations. Presented materials to attorneys at continued legal education trainings. Worked as a team to edit and improve presentation materials.

Analyzed legal issues and connected artists with attorneys to assist artists on a pro bono, reduced rate, or barter basis. Performed contract review and drafted various agreements, including songwriter agreements, master use licenses, and work for hire releases. Researched existing copyright and trademark registrations. Counseled artists on intellectual property and other business related matters. Prepared presentation materials for community seminars open to musicians and other artists to facilitate their understanding of complex legal issues and the changing media and entertainment environment.

Performed policy research and drafted memoranda related to a copyright applicant’s second request for reconsideration and several notices of proposed rulemaking. The work covered several areas of copyright law, including useful articles, compulsory licenses and statutory rates, and online copyright infringement. Attended legislative hearings on copyright policy reform and drafted summaries of the hearings for Office Reports. Presented research and summaries to the Register of Copyrights. Assisted with drafting of Notice of Proposed Rulemaking on the Mechanical and Digital Phonorecord Delivery Compulsory License.
