About Amanda Kool

I'm a mission-led, results-driven business attorney and legal strategist who builds efficient and lean-but-mighty legal functions for startups and growth-phase companies. I thrive on de-risking growth, executing strategic plans, and chipping away at the world’s problems one venture at a time. My background encompasses government, nonprofit services, academia, and experience in handling diverse transactional matters. Over the course of my 15+ year career, I have counseled hundreds of companies of all sizes at all life stages, helping to overcome countless points of legal friction and drive big ideas to market and scale.Corporate - Employment Law ⁃ SaaS ⁃ IP ⁃ Data Privacy ⁃ Governance ⁃ Debt/Equity Finance ⁃ M&A ⁃ Products ⁃ Food & Beverage ⁃ Franchising ⁃ ESG ⁃ Payments ⁃ Product Counseling - Government Relations ⁃ Dynamic/Cutting-edge Practice Areas ⁃ Cross-border TransactionsI’m convinced that the private sector can (and must!) play a huge role in driving social good and fostering sustainable economic opportunity for marginalized communities, and I believe in dismantling legal barriers to get us all there. I directed the Community Enterprise Project at Harvard Law School, providing legal assistance to underserved communities in the Boston area. I led Kentucky's Access to Justice Commission's Justice for All (JFA) action plan development (currently in its execution phase!), and during the COVID-19 pandemic, I became a legislative expert on federal pandemic response for businesses. As VP, Business Initiatives & Social Impact with Kona Ice, I helped to keep the world's largest food truck company and hundreds of franchisees afloat during the pandemic lockdown and led all ESG efforts of a franchise system that has given >$100MM back to local communities across the US. I'm excited to help Sharebite continue to expand across the US. Clinical Instructor

Cambridge, Ma, Us

The Transactional Law Clinics (TLC) are a clinical program of Harvard Law School, consisting of the Business and Non-Profit Clinic, Real Estate Clinic, Entertainment Law Clinic, and the Community Enterprise Project. These clinics provide legal assistance to individuals, corporate clients, and nonprofit organizations across Massachusetts while affording upper-level law students the opportunity to practice law under the supervision of licensed attorneys. I directed the Community Enterprise Project (CEP), an emerging clinical program of Harvard Law School. CEP students and staff engage in direct client representation of entrepreneurs, nonprofit organizations, and small businesses in traditionally under-represented neighborhoods of Boston, while also partnering with local organizations to identify common barriers to economic development and develop comprehensive (legal and non-legal) strategies to address them. To this end, Community Enterprise Project students conduct workshops and produce educational materials for targeted audiences on specific legal issues, as well as develop networks of technical assistance providers and other resources around a particular industry or need. Past projects have focused on the food truck industry in Boston, first-time home buyers regarding the unique aspects of condo ownership, entrepreneurial military veterans, models for community-sourced, localized investment under the Jumpstart Our Business Startups (JOBS) Act of 2012, the legal implications of business ownership by immigrant entrepreneurs, and a toolkit for worker cooperatives. As a supervising attorney in the Transactional Law Clinics, I worked closely with the Harvard Innovation Lab (i-Lab), conducting subject matter expert office hours, presenting workshops on legal topics pertinent to entrepreneurs, and representing companies that grew out of HBS, and the broader Harvard and Cambridge ecosystems.
