-Responsible for collecting the proposals, organizing the discussion, sending meeting invitation letters, organizing the meetings and writing the minutes of meeting-Provide supervision and inspection report-Responsible for communicating and contacting with the shareholders and directors with regard to the proposals of Board Meeting-Strengthen the routine information communication and coordination.-Responsible to improve relevant systems, procedures and forms-Responsible for establishing the standard contract of the company, and report it to the Group lawyer for examination-Responsible for reviewing the routine contract documents of company-Provide daily legal counseling service-Provide legal counseling on investment projects-Assist to complete the investigation and research of external institutions;-Issue letter of legal suggestions on major matters-Responsible for handling the lawsuit arbitration of the company-Responsible for handling various legal formalities of the company, including but not limited to handling various licenses-Responsible for handling the work visa of the company staff-Responsible to make legal research on special topics of investment projects-Responsible to make legal research on special matters-Responsible to make research closely related to the laws on business of the company;-Responsible to study the relevant investment policies of China and Egypt-Responsible to study other laws and policies related to company business-Carry out auditing work in accordance with the arrangements of the Board of Directors of the parent company-Provide audit report-Carry out the supervision and inspection in accordance with the rewards and punishment system of the company-Carry out investigation of the behavior in violation of the corporate culture of the company.

• Establishing all kinds of companies in Egypt.• Increasing Capital of Corporate.• Drafting and reviewing all contracts of a legal nature between the company and other party(s).• Drafting and authenticating resolutions issued by Board of Directors or shareholders or partners involving budget and other matters of legal nature.• Establishing and amending all articles of company's statute in line with resolutions issued whether by Board of Directors or shareholders or partners (e.g. amendment of statute, merging, participation in establishment).• Complete procedures of shares preservation at the authentic central preservation companies.• Handle all civil, labor and commercial Disputes.• Handle all matters related to social insurance.• Handle all matters involving labor such as labor office, safety offices, professional health and industrial safety.• Handle procedures of issuing work permit for foreigners and residence.• Present legal advice and counsel on all matters pertaining to the business of the Client.• Attend meetings and discussions when it is anticipated that legal counsel is required.• Attend to all matters which may arise between the Company and the governmental authorities in Egypt which involve or require legal services.• Performing Legal Due Diligence.• Handle authentication procedures and registration for all contracts, Power of Attorneys and other documents at the Notary Republic.• Mergers and Acquisitions.• Draft and negotiate manufacturing and distribution agreements; as well as private label agreements.
