Advise senior executives and all levels of the company on legal and compliance matters in a publicly traded mortgage insurance company listed on the New York Stock Exchange (ESNT) with a focus on privacy, data management and technological innovation:- Directing and advancing company’s compliance program and managing the Compliance Department- Conducting risk assessments and reporting to senior management and the Audit Committee of the Board of Directors- Reviewing, drafting and directing compliance with and training on company policies- Ensuring timely and accurate filings with Fannie Mae, Freddie Mac and 50 state regulators

- Contract drafting and negotiation, including services agreements, confidentiality and data security agreements, underwriting agreements, license agreements, commercial property leases, real estate transaction documents and insurance policy documents- Reviewing, updating and directing compliance with and training on company policies- Collaboration with Third Party Risk Management and Customer Audit Teams- Managing company’s intellectual property

General business counseling, reporting directly to General Counsel, and advising senior management on business risks:- Contract drafting and negotiation, including product supply agreements, business development agreements, services agreements, construction contracts, technology transaction agreements, advertising and promotions agreements, subleases and franchise agreements- Managing company’s intellectual property, tax and litigation matters- Addressing issues arising under and negotiating Collective Bargaining Agreements and providing training on how to manage unionized employees- Ensuring regulatory compliance (e.g., product and airport)- Implementing credit facility and attending to finance and accounting issues- Drafting, reviewing and directing compliance with company policies

Corporate and securities matters, with a focus on mergers and acquisitions, private equity investments, and general business counseling and contract negotiations for U.S. and foreign companiesGeneral corporate representation of U.S. and foreign companies, including counseling on corporate compliance and day-to-day business issues and drafting and negotiating business contracts (e.g., license agreements, distribution agreements, services agreements and non-disclosure agreements)
