I am a seasoned structured finance lawyer who has represented both borrowers and lenders in structuring and closing finance transactions involving a variety of assets, including residential and commercial loans, servicing advances, servicing rights, RMBS and CMBS. I have represented Ginnie Mae since the early 1990s and I assist clients in transactions involving government-insured loans and the GSEs, including warehouse financings, early buy-out transactions and MSR financings. Lately I have been advising clients on LIBOR transition and e-closings, hybrid closings and the use of e-notes and digital mortgages. Chambers USA reported that I am a valued resource in the world of high-stakes securitizations and that my clients say, “She doesn’t get rattled and stays calm in stressful situations.” I also advise clients on Investment Company Act status questions, including, in particular, REITs and other specialty finance companies. In recent years, this practice has expanded to include advice about the exceptions and exemptions relevant to the definition of “covered fund” under the Volcker Rule.
