I manage the Corporate Governance section of Key Legal. My team supports, among other things, the KeyCorp Board of Directors, SEC Reporting, Investor Relations, Corporate Strategy, Corporate Responsibility, Corporate Treasury, Corporate Real Estate, and general corporate matters. We also provide support on Bank Regulatory matters.

Advising public and private companies in securities and general corporate matters, including federal and state securities law filings and compliance. Experience in a variety of transactions, including private placements, follow-on and secondary offerings, initial public offerings, and public and private company mergers and acquisitions. Significant experience in drafting disclosure documents for private placements and public equity and debt transactions, including PPMs, registration statements and prospectuses (e.g., Forms S-1, S-3, S-4 and S-8), and proxy statements for annual and special meetings.

Researched federal appellate court decisions affirming dismissals for forum non conveniens. Analyzed and summarized findings for Professor to utilize in an upcoming publication.

Drafted bench memoranda for several pending cases. Attended case management conferences, mediations, and settlement negotiations. Conducted extensive legal research. Learned effective techniques for editing legal memoranda.
