Coordinating the activity of the Legal Division consisting of: • Corporate Legal Business Department;• Retail Business Department;• Litigation Department;• General Legal Assistance Department; Supervision and the evaluation of the legal advisors’ activity in Legal Division and the partition of their activity;Responsibilities: provides legal assistance to the Bank’s management and provides legal assistance to the Bank’s shareholders with regards to their rights and obligations arising from holding participation in the share capital of the Bank; collaborates with Compliance Division and provides legal assistance for the issuance /amendment of the Bank’s norms and the procedures regarding to KYC, AML and prevention of terrorism activities, as well as any other internal regulations related to compliance activity;  provides legal assistance to the Bank’s management in issues related to labor relationships, disciplinary, civil and patrimonial responsibility in that respect;  Cooperates and ensures the legal support for the issuing/modification of internal norms and procedures;  monitor, control and evaluate the professionally activity of the network legal advisors, based on the cooperation with the related sectors/departments of the division;  drafts and ensures the training plan and other professionally training courses for the legal advisors; cooperates all the time with the related units of the Bank in order to ensure a proper legal assistance; quarterly reports to the Bank relevant committee all the litigations (other than cases under the foreclosure procedure) and their status/progress, including the files in which the Bank acts as agent for the Parent’s companies;  provides legal assistance and advises, upon the request of the Bank’s management, business banking operations which may attract litigation; • Provides legal assistance to the Parent Company regarding the Romanian law.

-supervision and the evaluation of the legal advisors’ activity in Corporate Sector and the partition of their activity. -drafting contracts for the Bank’s transactions and legal advice, in all legal fields regarding Corporate Sector, including syndicated loans; - advising on any measures that should be taken and supervising, from a legal point of view, of all acts issued or received by the bank to and from third parties in connection with Corporate activity - drafting and negotiating various escrow agreements with local or global clients - legal reference regarding the contracts which involve the participation of the Bank in juridical relations;- legal advice, assistance and drafting standard contracts regarding Credit Manual and other internal procedures related to bank’s product and services and periodically reviewing procedures;-legal assistance in the syndicated facilities and in all loan transactions the Bank is involved, including the utilisation of the drafts issued by the LMA (Loan Market Association)-legal assistance and legal analysis of the legal risks arising from the bussines activity of the Bank in connection with Corporate activity (title legal report, transactions’ frame aso);-legal assistance in restructuring of the distressed portfolio;-legal assistance related to the legal strategy of the bank within the insolvency/bankruptcy procedures;-drafting and reviewing the claims requests and the defence papers of the bank in connection to the litigations in which the bank is involved related to its corporate activity .
