Senior Legal And Commercial Counsel
Current› Legal and Commercial position in Bucharest; Responsible for:• Drafting and negotiating license and services agreements in Europe,including but not limited to new agreements and schedules to legacy Turaz,Reuters, IND, Misys and D+H agreements;• Drafting and negotiating contractor services agreements in Europe and,occasionally, NAM, MEA and APAC areas;• Drafting and negotiating NDAs;• Ensuring that all transactions into which Finastra enters comply withcompany standards and bring maximum value;• Supporting the general legal needs of HR, Customer Support, ProfessionalServices, Product Management, Training and other functional groups;• Handling all European customer-facing legal issues (including but notlimited to issuesrelated to provision of support, payment terms and delays,product specifications, functionality and license limitations, employeesvetting, adherence to provisions of certain codes of conduct);• Drafting official communication and notification letters;• Drafting and negotiating Data Processing Agreements based on the applicableGDPR provisions;• Reviewing Statements of Work containing detailed implementation servicesdescription, including technical aspects, in collaboration with ProfessionalServices team;• Drafting and reviewing Software Distribution agreements in collaboration withProduct Management team and third-party software providers;• Acting as principal point of contact in the relation with the team in charge ofresponding to RFP/I(s) for legal review.
