Now retired from the practice of law, after 40 years. Applying my business and organizational skills to specific situations on a limited basis from time to time. Until my retirement from practising law I was a business lawyer assisting clients with major strategic steps and ongoing operational matters, often with international aspects. Have helped both Canadian and foreign companies and their stakeholders to buy, sell and finance businesses and major assets, as well as negotiated and drafted project documents of many kinds. Provided ongoing legal and strategic support on operational steps ranging from product supply and distribution to brand establishment and protection to dealing with foreign and domestic regulators. I developed solutions to major issues facing businesses that both solved a problem and expanded the business's options or scope. Examples of transactions and solutions when I was a lawyer:1. A mainstay of my practice was negotiating, drafting and completing acquisitions and sales of Canadian businesses, both for foreign investors and Canadian companies. Examples include agri businesses, consulting, logistics, storage and offshore project services. 2, Provided a smooth path for foreign companies to start up and operate a business or project in Canada, by negotiating the major contract that brought them to Canada, structuring with tax input the entity used to conduct business in Canada, and arranging for the client's management and technical experts to work in Canada. 3. Resolved shareholder disputes, including within two months one that had existed for 2 years, thus allowing the departing party to achieve reasonable payment for his investment while enabling the majority shareholder to focus on the future expansion of the company rather than an ongoing unhappy minority shareholder. 4. Assisted foreign suppliers of a variety of leading-edge 'green' technologies as they develop and implement projects and joint ventures in Canada. 5. Assisted Canadian companies to expand their businesses to other countries.6. Assisted foreign companies to recover payment from defaulting Canadian debtors who thought they would be able to avoid payment because their unpaid supplier was far away. 7. Linked up local and foreign businesses with goods and service suppliers who could assist them move forward significantly with their plans in Canada and elsewhere.
