As a corporate and securities partner at Covington with over 35 years of diverse experience, I have been privileged to help clients ranging from emerging venture-backed companies to large multinationals as well as government development agencies and NGOs to achieve complex objectives and solve some of their toughest problems. I regularly represent corporations, board committees, and other forms of enterprises in mergers and acquisitions, joint ventures, strategic alliances, financing activities, securities law compliance, corporate governance counseling, and executive compensation arrangements.Over the past decade, a significant focus of my work has been driven by the globally transforming energy landscape. As chair of the firm's Energy Industry Group, I have worked closely with clients and industry groups executing on strategies that take advantage of market and policy demands for greater efficiency and decarbonization of energy use, electrification of transportation, and risk mitigation in hydrocarbon production.A consistent role over the full arc of my career, has been as an outside general counsel or corporate governance advisor to a variety of middle market and large diversified industrial or technology enabled manufacturers. In these roles I have often worked closely with c-suites and boards to develop and execute on business strategies, manage crises, and assist in leadership transitions. I also spent most of the 1990s and early 2000s as a sports lawyer often on high profile projects with a public/private dimension. These included thoroughbred racing and gaming in Puerto Rico, motorsports in Kansas City and the District of Columbia, the NFL's Cleveland Browns and Houston Texans transactions, and as the lead lawyer advising the District of Columbia's successful effort to bring Major League Baseball back to Washington.
