My unique background as a former software developer, combined with 15 years of experience managing billion-dollar technology transactions for major clients, sets me apart from many attorneys in this business. In particular, I enjoy learning each client’s business in-depth; diving deep to uncover potential deal killer issues; and finding creative solutions that minimize risk while enabling businesses to reach their goals. For example:After identifying some potential issues in the data licenses for a recent acquisition, the data privacy counsel wanted to kill the deal. I worked with lead-counsel to identify potential remediation solutions that permitted the deal to proceed. On another recent acquisition, the client and target were unable to agree on the timing for a certain remediation action, and the target refused to sign until the remediation action was completed. I resolved the issue by proposing that we let the target complete the remediation but keep the remediation action as a closing condition so that we could verify it post-signing and had a remedy if it was incomplete.Over the course of my career I have learned to be a good team player as well as a good lawyer. Developing strong working relationships with my colleagues and clients not only facilitates work but makes it more enjoyable.
