- Represented public and private company and private equity borrowers, lenders and arrangers in acquisition financing and secured and unsecured syndicated loan facilities and refinancings, including drafting and negotiating commitment papers, term, revolving and ABL credit agreements, guarantee, pledge and security agreements and related ancillary agreements and other documents, such as corporate governance and organizational documents and legal opinions.- Represented purchasers and sellers, including public, private and financial sponsor clients, in merger and acquisition transactions, including drafting and negotiating purchase, sale and merger agreements and non-disclosure agreements and preparing diligence reports and ancillary documents, such as transition agreements.- Represented issuers and underwriters in public debt and equity offerings, including drafting and negotiating indentures, underwriting agreements, offering documents and ancillary documents.- Conducted and reviewed legal due diligence in connection with acquisitions, corporate financing and capital raises.- Supervised junior associates and paralegals in connection with document drafting and transaction closings.- Coordinated with colleagues in tax, employee benefits, intellectual property, real estate, antitrust and environmental as well as outside counsel in various non-U.S. and non-New York jurisdictions regarding legal and commercial issues.- Pro bono experience included leading the firm’s monthly legal clinic at Bushwick High School, supporting the Board of Directors of New York Cares in corporate matters, litigating cases in family court, volunteering for the Fund for Teachers Selection Committee and staffing the small business legal clinic and immigration clinics related to deferred action for childhood arrivals.
