Stanfield’s portfolio managers invest in a wide range of instruments, including high yield bonds, loans and equities.• Responsible for the in-house preparation and negotiation of a variety of agreements, including ISDA schedules, prime broker agreements, investor side letters, credit agreements, technology agreements and employment contracts. • Advise on portfolio transactions, including those that involve tax issues to investors, corporate restructurings, PIPE transactions and sales of restricted securities.• From June 2007, served as General Counsel of Solus Alternative Asset Management LP, the successor-in-interest to Stanfield's advised hedge funds.

• Senior attorney responsible for formation and operation of Morgan Stanley Investment Management’s alternative investment funds, including its private equity funds, venture capital funds, hedge funds and fund of funds. • Advised on formation and operation of various employee investment arrangements and "carried interest" plans. • Counseled clients on marketing considerations related to establishing funds and separately managed accounts for different investors in different jurisdictions, including institutional investors and high net worth individuals. • Member of investment committee and funds of funds group management committee.

• Rendered legal advice to public and private corporations on U.S. and international mergers and acquisitions involving U.S. securities laws, corporate law and corporate finance; including stock-for-stock and cash mergers; acquisitions via stock or asset purchases, tender offers and exchange offers; joint ventures; corporate restructuring; subsidiary spin-offs and going private transactions. • Drafted and negotiated merger agreements, stock/asset purchase agreements, stock option and shareholders agreements, joint venture agreements, licenses of intellectual property and other transaction documents. • Prepared disclosure documentation, including proxy, registration and tender offer statements. • Also rendered legal advice to clients in real estate transactions; including leasing and conveyancing; sale of secured notes; structured and conventional financing; initial public offering of a real estate investment trust; and mortgage-backed securitization.
