  • Istar Financial Inc. (Nyse: Star)
Senior Vice President - Investor Relations / Marketing
Istar Financial Inc. (Nyse: Star) Dec 2004 - Dec 2010
    New York, Ny, Us
During one of the worst financial crises on record, counseled senior management and partnered with CEO and CFO in raising over $8B of new capital and restructuring ~$4B of unsecured debt. Brought to the executive team an ability to build and strengthen alliances, manage public perception and expectations, and maximize support of the business during a critical cycle in the financial markets. Building on “bubble” and crisis experience gained in the telecom sector, I played a key role as senior management counsel and trusted public voice for the Company, providing strategic advice on a range of core business activities, not only to internal executives of the firm, but also directly to the Company’s Board of Directors on a frequent basis. Key Accomplishments:• Integrally involved in all capital raising and restructuring initiatives including ~$15B in secured and unsecured debt, convertible debt, trust preferreds and equity.• I turned a passive investor relations function, lacking integration with marketing or business planning, into a valued business partner throughout the company by increasing communication with the financial community, expanding and strengthening relationships with new and existing investors, diversifying the debt & equity investor base and by increasing & transitioning equity and debt research coverage by over 70%. • Served as sole spokesperson for the business with analysts, investors and the media, including The Wall Street Journal, The New York Times, Barron’s, Newsweek and a number of national, international and regional publications during one of the most challenging financial markets in history.• Led 9-person team in repositioning and strengthening the corporate brand across multiple domestic and international markets.• Guarded company reputation through commercial real estate market meltdown, providing strategic counsel for executive management on capital initiatives, acquisitions, branding and crisis management.
  • Corvis Corporation / Broadwing Communications (Nasdaq: Formerly Corv & Bwng)
Vice President - Investor Relations, Public Relations And Marketing
Corvis Corporation / Broadwing Communications (Nasdaq: Formerly Corv & Bwng) Mar 2000 - Nov 2004
Corvis represented an opportunity to build a corporate investor relations and corporate communications organization from the ground up in a fast-moving start-up company that operated within an industry characterized by rapid technological changes. I joined in advance of what was to become one of the most successful and highly publicized initial public offerings in history -- a premium multiple awarded to a company that had neither revenues nor net income -- and which required an entirely different set of skills when the industry quickly and suddenly turned downward. I developed, researched and wrote all corporate presentations, news releases, conference call scripts and financial information for dissemination to investors. I counseled senior management on positioning of corporate growth strategy with current and potential investors, employees and customers, and served as the "reality check" between investors and management. Broadwing, acquired by Corvis in 2003, required a complete reworking of corporate messaging, new positioning with key investor and media contacts and re-engineering the IR, PR and marketing functions virtually “on the fly.” Key Accomplishments:• Designing, organizing and launching the investor relations program in advance of its record-setting public offering (over $1B raised) on July 28, 2000. • Succeeded in clearly and succinctly conveying to investors, press, media and industry analysts the benefits of Corvis' advanced and complex fiber optical networking technologies over that of peer competitors.• Identified and developed solid relationships with Corvis' key sell-side (20+) and buy-side (100+) investor constituents. • Served as the primary point of contact with the investment community and financial media. • Spearheaded crisis response teams in countering misinformation within the investment, press, media and industry analyst communities.
  • Lucent Technologies, Inc. (Nyse: Formerly Lu)
    Investor Relations Director
Lucent Technologies, Inc. (Nyse: Formerly Lu) Mar 1996 - Mar 2000
Started as Investor Relations manager supporting the individual and retail shareholder-marketing program. Within six months, promoted to Senior Investor Relations manager. One year later promoted to Investor Relations Director. Challenges in this position were unique since Lucent’s Investor Relations department was a start-up operation in a newly created company. This required establishing various shareholders marketing programs, selecting a securities transfer agent and developing dividend reinvestment and direct stock purchase plan programs. Leading a team of 3 staff members, responsibilities included: managing the individual, retail, and tier-two/tier-three institutional shareholder marketing programs, managing the relationship with Lucent’s Securities Transfer Agent who serviced approximately 2M registered shareholder accounts, and managing Lucent’s relations with key retail brokerage firms and Wall Street buy/sell-side analysts. Key Accomplishments:• Developed and implemented Lucent Technologies’ individual and retail shareholder marketing program. This program helped increase individual ownership of Lucent stock by 9% in 18-month period. As a result, the program was recognized as one of the most innovative and successful in the industry.• Negotiated an unprecedented level of performance and protection for Lucent in the $75M contract with the securities transfer agent. Terms of the agreement established the highest quality standards for the securities transfer industry. Simultaneously, the fees for the contract were reduced 30% compared to similar services agreements. The net effect was an approximate $35M savings to Lucent.• Expanded individual stock ownership of Lucent Technologies stock in the European Community by developing and implementing a highly successful and industry-first European Retail Marketing Program. Several blue-chip companies since replicated this program.
