Andy Gabriel represents buyers, sellers, landlords, and tenants of commercial real estate, including shopping centers, office/industrial buildings, hotels/casinos, restaurants/taverns, and gas stations/convenience stores. He advises clients regarding commercial real property due diligence, including title and survey review, environmental conditions, and lease/property contract abstracts. He represents lenders and borrowers in loans secured by commercial real property, including conventional development/construction and takeout financing, CMBS conduit financing, mezzanine financing; represents parties in loan workouts, modifications, compromise and settlement agreements, and restructuring. He also represents title companies, real estate brokerages, and property management companies. He advises developers and owners’ associations on the creation, governance and operation of common interest communities, including condominiums. He counsels developers on land use entitlement, including zoning, variances, use permits, development agreements, and subdivision laws.He represents corporations, partnerships, and limited liability companies and their directors, shareholders, officers, partners, members, and managers in entity formation and governance. He represents buyers and sellers of commercial business assets, including sales of restaurants, taverns, and casino assets with privileged licenses. He also represents buyers and sellers of stock, partnership interests, and membership interests in equity transactions. In addition, he represents lenders and borrowers in asset secured financing transactions pursuant to the UCC and enforcement of UCC security interests. He works with the Firm’s bankruptcy attorneys drafting and negotiating financing, real estate, and corporate transaction documents related to bankruptcy plans. He advises clients regarding landlord and tenant bankruptcies, borrower and guarantor bankruptcies, and real property developer bankruptcies.
