• Chief Legal Advisor: Providing strategic legal counsel to the Board of Directors, CEO, and executive management; Responsible for all legal matters across R&D, commercial, clinical trials, procurement, HR, insurance, cybersecurity, privacy, finance, M&A, and corporate governance. Active participation in all aspects of the company's operations, ranging from business development to corporate matters and dispute resolutions.• Commercial Transaction Expertise: Demonstrating proficiency in a wide array of commercial transactions, encompassing consulting, service, vendor, finder, HR, privacy and data protection, IT, various finance transactions (including SPA, SAFE, CLA, etc.), as well as scientific collaborations, Clinical agreements, MTA, NDA, and license agreements.• Contract Negotiation, Drafting and Management: Collaborating with various teams within the company to negotiate and draft contracts, ensuring compliance with contractual requirements and enforcing terms when necessary. • Directing Policy Implementation: Leading the direction, drafting, and implementation of the company's Legal policies and procedures.• Internal Investigations and Compliance: Conducting internal investigations and engaged directly with state agencies to ensure regulatory compliance.• External Legal Counsels Management: Oversight of external legal counsels, ensuring alignment with the company's legal strategy and objectives.• IT and Cybersecurity Oversight: responsible for all IT-related issues within the company, including managing in-house IT fixes, coordinating with external IT consultants, planning cybersecurity defenses, and ensuring compliance with data protection regulations.
