I help clients develop and acquire technology and other intellectual property assets through joint ventures, strategic alliances, collaboration and research agreements, development agreements, and technology and patent licenses. I also help clients commercialize their technology through manufacturing, supply, and distribution arrangements, as well as EULAs and reseller and OEM arrangements with other commercial partners.Many of my clients are navigating 'the cloud,' either as providers or customers of cloud-based services, and I bring my understanding of the possible allocations of risk from both sides of the table to negotiate fair agreements that address issues such as privacy and security, redundancy, service availability, scalability, and transition services.Recently, I have seen more and more executives and board members ask about best practices regarding protection of company confidential and trade secret information, and currently am developing realistic internal compliance programs, including vendor management programs, to address those risk areas.I also try to provide legal advise that business people can use to navigate the complex laws and regulations governing online marketing and sales directly to consumers, including marketing to children, and the evolving world of social media and "app" based marketing.Finally, I negotiate business technology licenses and outsourcing agreements, including hosting agreements, software licenses, and ERP system development and implementation agreements. My experiences have included negotiations with many of the largest business technology providers, including IBM, AT&T, Microsoft, SAP, Oracle, and JDEdwards.
