In this role I partnered with senior management team to streamline functions of a print/digital marketing company to resolve challenges with capital structure and declining market share. I orchestrated restructure of legal entities to ensure minimization of company's global tax liability due to company's significant reduced balance sheet liabilities stemming from Chapter 11 prepack filing. I supervised tax/legal/risk due diligence, relationship and requests from outside counsel and lender counsel. I reviewed and negotiated new debt agreements, shareholder agreements, debt covenants associated with the DIP financing and emergence debt. Managed all tax compliance functions, foreign treasury forecast model and enabled stock equity program for executives and board members. I administered financial aspects of company's self-funded benefit plans, all internal audit functions, contract administration, billing and collections functions. I partnered with CSO to ensure GDPR, CCPA and PCI compliance. My proudest achievements were:♦ Successful consolidation of all U.S. tax compliance inhouse resulting in approx. $40K annual savings.♦ Primary contributor and leader in establishing a new Costa Rican entity including all reporting and statutory requirements.♦ Instigated an updated transfer pricing structure in foreign jurisdictions enabling tax-free repatriation of approx. $20M annually.

In this capacity I managed large tax teams/departments as well as small specialized teams. I guided and completed a major co-sourcing project with Deloitte replacing internal tax department of an internationally traded company. This project required partnering with company's CFO, CAO and international tax department to enable approx. 6oo annual domestic and international transaction filings, tax provision and consulting services, and transfer pricing consultation. I executed tax provision audits of international inbound clients, reviewed complex inbound financing structures. I coordinated with audit partner and Washington National Specialists. I am proudest of the following accomplishment:♦ I managed a client's IRS audit focusing on complex transfer pricing issues, reducing an initial tax assessment of $38M down to a $2M adjustment and a $10M refund.
