- Developing and implementing corporate governance standards of the DTEK Group, which incorporates the companies organized and existing under the laws of the Netherlands, Cyprus, Hungary and Ukraine; - Planning, preparing and organizing work of the management bodies of the enterprises of the DTEK Group, including the Supervisory Boards and the General Meetings of Shareholders of the companies of DTEK Group, namely: o Organization and holding meetings of the Supervisory Board of the holding company, including its committees, in absentia and in presentia; o Organization and holding annual General Shareholders Meetings of the companies of DTEK Group; o Drafting and execution of resolutions and/or minutes of management bodies of the enterprises of the DTEK Group on different business issues as follows: rising a Group financing (Ukrainian and foreign banks), acquisition of the corporate rights, incorporation of the companies, participation in concession, privatization tenders, approval of the investment projects, dividend payment etc.; o Performing secretary functions of one of the Supervisory Board’s committees; o Consulting other departments of the company and production enterprises regarding introduction issues for approval by the Supervisory Board;- Working with foreign legal advisors and administrative companies in Cyprus, Dutch jurisdictions; - Working with management of foreign enterprises for providing day to day activity of the DTEK Group companies; - Drafting of Amendments to the Articles of Association of Cyprus and Dutch companies; - Opening custody accounts for the DTEK Group companies in Ukrainian and foreign banks;- Documental support of corporate governance of legal entities.

- Conducting corporate rights, which were ascertained to the Bank;- Legal support of conclusion of security purchase and sale contracts;- Documental support of corporate governance of legal entities, where Bank was a shareholder;- Collection and filing of statutory and financial documents of legal entities, where Bank was a shareholder; analyzing of such documents with a purpose of legal protection of rights and interests of the Bank as a shareholder;- Drafting and adoption of Bank’s internal legal documents regarding corporate rights, as follows: Regulations, Instructions, Manual procedures, Board decisions; - Drafting of resolutions of the Bank’s Supervisory Board;- Representation of interests of the Bank at shareholders meetings and in management bodies of legal entities, where Bank was a shareholder;- Maintenance of bankruptcy and liquidation procedures of legal entities, where Bank was a shareholder; - Ensuring timely registration of ownership rights for securities and receiving necessary information from stock markets, registrars and custodians of stock companies. Providing alternations in register of shareholders, immobilization of securities, formalization of purchase and sale contracts etc.; - Internal and external reporting on corporate rights;- Collaboration with other subdivisions of the Bank with a purpose of coordination of equity participations activity.
