I have broad-based experience in corporate, securities, and M&A law. I concentrate in the core areas of mergers and acquisitions, capital formation activities (including private placements), brand licensing transactions, joint ventures, supply and distribution agreements, asset sales, private equity investments, SEC compliance matters, and restructurings. My public and private finance experience includes acting as counsel for operating entities, venture investors, strategic buyers, private equity funds, start-up companies, issuers, underwriters, and selling stockholders. My mergers and acquisitions experience includes representing both buyers and sellers, asset acquisitions through bankruptcy, other distressed transactions, structural reorganizations, auction sales by PE sponsers, and advising independent director committees.I represent a number of restaurant, retail and entertainment clients, including large national and regional restaurant chains, nightlife and event companies, early-stage restaurant ventures and brand development and licensing companies. I am Chair of the UCLA Extension California Restaurant Industry Conference held each spring and am a member of the firm's Corporate & Securities, Mergers & Acquisitions, and Marketing, Distribution & Franchising practice groups. I often speak on various corporate and legal topics at restaurant industry conferences, CEB (Continuing Education of the Bar) conferences, and other programs.
