Services provided include company administration, company secretarial services, share trusteeships, directorships and accounts preparation. Directly responsibility for over half of the team’s portfolio. Specific duties include:• Incorporating new companies in the UK and Ireland;• Assisting with the drafting of key transaction documents including the corporate services agreement and share trust deed;• Ensuring that SPVs operate in line with the relevant deal documentation; • Preparing required Companies House filings including those pertaining to change of directors, change of name, share capital, accounting reference date etc;• Maintaining the secretariat system, preparing and maintaining statutory books and ensuring compliance with statutory and regulatory requirements including listing requirements;• Preparing for and attendance at board meetings including preparation of board papers and resolutions and taking minutes;• Registering share transfers and allotments and issuing share certificates;• Preparing and issuing notices, circulars and resolutions for AGMs and other shareholder meetings;• Assisting with liquidation or strike off processes for dormant or unwanted companies;• Providing support and detailed background information to allow the directors to fully execute their duties;• Developing good working relationships with clients within the portfolio and external professionals such as auditors, lawyers and accountants.
