I provide corporate, transactional and other legal services and advice to technology and other high growth companies. I also serve on a fractional basis as outside general counsel for companies with no in-house legal staff. I am an experienced and well-rounded attorney and leader. I bring a unique package of experience to my practice having previously served as a Corporate/Securities Partner in a Global 100 law firm, General Counsel of two start-up companies that were successfully sold, and in senior legal and executive roles at four large high growth technology companies, LogMeIn, Citrix, VeriSign, and Amazon.

Led legal support for SaaS commercial transactions, product launches, international operations, compliance, M&A, and HR, IP and litigation management. Managed team of up to 10 attorneys and paralegals. • Spearheaded legal integration plan for $1B merger between LogMeIn and the Citrix SaaS Division• Drove legal template and process efficiencies utilizing Lean Startup and Net Promoter Score (NPS) principles to significantly improve legal contracting productivity by ~20%.• Played significant cross-functional role in LogMeIn’s GDPR compliance efforts including establishing process to enter into Data Processing Agreements with applicable customers and vendors.• Created new legal training library to increase self-help by business clients. In first year, created 15 video and Power Point training programs.

Led or supported on matrix basis all legal activities for Citrix SaaS division, including GoToMeeting and served on executive team. Helped grow revenues from $300M - $700M. Managed team of up to 7 attorneys and paralegals.• Simplified legal contract templates and contracting policies; integrated new product offerings; harmonized licensing and subscription models.• Guided team and provided hands on assistance for challenging contracts with Enterprise sales customers and significant business development partners.• Led or collaborated on cross-functional teams to improve operational efficiency such as Lean Startup, NPS, outcome-based goal setting aligned with strategy, and two-way rapid communication. • Created new set of Product Counsel tools to dramatically speed time to market for new product launches and updates.

Led at different times all legal support for (i) products organization ($1.5B revs), and (ii) security division ($500M revs). Managed team of up to 11 attorneys and one assistant. • Served as lead M&A lawyer for divestiture of 11 of 14 business lines with gross transaction value of over $1B as part of strategic return to core businesses of security and domain names. • Drove changes to contract templates and processes including reduction of standard form MSA from 16 to 6 pages resulting in reduced negotiations and faster close times.• Spearheaded new international expansion process, resulting in a significantly faster time to market at less cost.

Managed all legal affairs and served as member of 4-person senior management team for start-up in domain name business with rights to commercialize the .tv domain extension.• As 4th employee, collaborated to define strategy and grow company from $0 to $25M revenue, cash flow positive company in 1-1/2 years. • Managed regulatory affairs with US Department of Commerce, Industry Regulator (ICANN) and Government of Tuvalu.• Sold company to VeriSign in December 2001. Before selling, led $1B IPO process which failed due to tech market meltdown.

Led all legal activities for business development, corporate finance, and SEC reporting. Closed significant website advertising transactions, strategic investments and Euro 600M convertible bond offering. Left Amazon to join The .TV Corporation, a LA based start-up funded by Idealab, a leading internet company incubator, as Senior VP, General Counsel and Secretary.

Managed all legal affairs and served as member of four-person senior management team for fast growing company in airport privatization and management business ($125 million revenues, 20+ locations, ~1000 employees).• Helped coordinate Board meetings and materials for sophisticated Board that included representatives of Lockheed Martin, GE Capital, Soros Capital, Bechtel Engineering and Construction and Duty Free Shops. • Concluded complex airport privatization transactions throughout the world with gross transaction value of over $250M. Activities included negotiation of joint venture and other partner arrangements, transaction due diligence, preparation of bid documents and drafting and negotiation of definitive financing, acquisition and management agreements.• Concluded operating contracts for fueling, cargo and ground handling services. • Managed government and partner relations in UK, Australia, Chile and Bolivia.• Acted as Corporate Secretary for holding company and foreign and domestic subsidiaries • Sold company to UK competitor in Sept. 1999 in a transaction valued at $150 million and joined Amazon as Associate General Counsel.

Represented diverse set of clients in connection with public and private equity and debt securities offerings, M&A transactions, SEC reporting, and general contractual issues. • Served as de facto General Counsel for multiple companies with no in-house legal staff. • Served as Sheppard Mullin’s partner representative in Hong Kong for two years. • Represented Cineplex Odeon Corporation (motion picture theaters) and Quarterdeck Office Systems (software) in connection with IPOs and ongoing SEC reporting obligations.• Represented Hughes Electronics Corporation pension plan in connection with over 50 private equity investments in technology companies and venture capital and LBO funds.• Represented investment banking companies in connection with underwriting transactions.• Left Sheppard Mullin to accept SVP and General Counsel position at Airport Group International.
