I am a highly experienced and effective legal advocate practicing corporate and securities law. My experience includes, complex securities transactions public and private offerings, joint ventures, at-the-market transactions, PIPE offerings, mergers, acquisitions and Canadian cross-border transactions. I provide advice to clients with respect to general corporate governance issues, United States Exchange Act Reporting, compliance with rules and regulations of state securities commissions, and self-regulatory organizations including FINRA. I have gained incredible insight and legal skills through my current employer with Dorsey & Whitney LLP, where I have developed a deep and broad experience navigating cutting-edge legal and regulatory issues. I provided legal representation for major corporations in several public and private securities transactions, mergers and acquisition transactions and Canadian cross border transactions. I drafted registration statements, prospectus supplements, and lead due diligence teams in connection with public securities offerings. I was responsible for drafting subscription agreements and private placement memoranda for private securities offerings and preparing United States wraps for Canadian cross-border transactions. While employed as an associate at Kutak Rock LLP, I worked with clients addressing complex legal issues including Securities and Exchange Commission reporting obligations for emerging growth companies and sophisticated public companies, structured franchises, distribution, and licensing programs. As a licenced corporate attorney, I have presented research in the area of corporate governance and expertly performed research on complex legal issues involving the Securities, Exchange Commission, and the Financial Industry Regulatory Authority.
