My experience included the full gamut of transactional, commercial and regulatory work and also fund raising, both equity and debt.Examples of work include: representing private and listed investors acquiring several significant gold and other precious mineral projects in Indonesia, New South Wales, the Northern Territory, Queensland and Tasmania; and creating, developing and leading the establishment of Defence+TV, a "multi-media effects multiplier" for the Australian Defence Force providing the ADF, defence industry and general public a dedicated channel of contemporary content focused on news, current affairs, education, training and cross community engagement; advising upon the establishment and operation of 878TEN, a global telecom company utilising ITU issued ENUM enabled numbers, IMSIs and associated codes for voice, data and IoT based services; consulting with a Formula One company concerning commercial exploitation of their IP through a bespoke global communications platform; and advising a leading Japanese game company upon the establishment of an MVNO business model.
Chairman
Appointed director of Ark Mines Ltd by the majority Japanese owner to independently advise them on their ownership stake. During the GFC the Japanese owner decided to exit its majority position and I was appointed to develop and close an exit strategy. I located a buyer for a majority stake in the company and then worked with the buyer as a co-founder to list the company on the Australian Securities Exchange at which time I was appointed company Chairman. Under my chairmanship the company raised over $10M in equity and financing, acquired and developed various gold assets, procured necessary governmental permissions for mining and secured a toll-treat agreement for processing gold ore. Due to changes at the toll treat company beyond the control of Ark Mines Ltd, profitable processing could not proceed and the Ark Mines Ltd was ultimately placed into voluntary administration. Under my guidance the former directors of Ark Mines Ltd negotiated a deed of company arrangement with the administrator and creditors and satisfied the DOCA terms, releasing control of the company back to the directors and paying unsecured creditors 100 cents in the dollar. The company successfully relisted on the ASX on 24/12/2021 with a new suite of mineral tenements based in Far North Queensland.
