A. Pipeline Development• Responsible to develop strong relationships with internal and external clients and stakeholders• Engage in outreach activities relating to PPP matters in Bangladesh in coordination with OPPP andSARD sector divisions• Support origination and implementation of AP3F applications and transaction advisory services (TAS)mandates in Bangladesh• Identify and evaluate projects and ensure they are aligned with ADB objectives and policies• Explore opportunities for ADB by researching industry developments in the infrastructure or othersectors, including Private Sector Development (PSD) and attending related events• Understand market trends and regulatory regimes to identify realizable opportunities for ADB• Assist with the origination of new mandates and AP3F applications in key sectors, including thosealready being supported by ADB• Help identify training, regulatory and institutional gaps where targeted interventions could strengthenscreening and processing of PPP projects• Support in the implementation of TAS mandatesB. Preliminary Project Processing• Conduct a high-level assessment of the commercial viability of PPP projects based on their economicrationale, ease of structuring, and private sector interests• Provide assistance to government agencies in preparing applications for AP3F support• assist OPPP in submitting applications to the AP3F Working Group and Steering Committee forendorsement/approval• Monitoring and reporting OPPP-supported activities• Participate in the preparation of scope of work, terms of reference, and other documents needed inconnection with the procurement of external experts – individual(s) and/or firm(s) for capacity building,project preparation and/or project monitoring/restructuring purposes• Provide support on commercial matters and financial analyses on TAS projects• Engage with and provide quality advice to OPPP's clients in Bangladesh directly on matters relating toactivities of OPPP

• Support the PPP Authority to administer the PPP project identification and qualification, project development and implementation process.□ Carrying out project screening activity on the projectbeing submitted to the PPP Authority and developing reports on the assessment□ Prepare and review PPP transaction documents being developed for the project□ Monitor and report on the progress of the PPP projects□ Supporting in the appointment of advisors□ Reviewing and assessing the completeness and findings of Pre-feasibility and Detailed Feasibility Reports□ Analyzing and advising on PPP risk allocation and develop an appropriate risk profile for the project□ Reviewing the terms and conditions of RFQ’s and RFPs to be issued for the project to ensure they meet best practice and PPP guidelines□ Necessary support in preparation of PPP transaction document (PIM,IFB,RFQ,RFP, PPP contract.)• Support the PPP Authority in the development, detailing and ensuring the application of PPP policies.□ Reviewing PPP project proposal to ensure they meet bid submission requirements□ Evaluating and advising on PPP proposal over the procurement phase□ Identifying and addressing commercial risk raised by the PPP contract□ Negotiation of PPP project□ Developing and conveying PPP strategy, policy and guidance□ Developing a database of relevant legislative and regulatory material, global best practice and development of standardized contractual documents□ Developing operational instructions for implementing PPP policies• Support the PPP Authority’s remit to undertake awareness creation activities and build capacities in line Ministries and Implementing Agencies on PPP matters.□ Provide PPP training sessions to officials in the PPP Authority and the Line Ministry/Implementing Agency□ Supporting the PPP Authority in carrying out road shows and investor promotion activities□ Develop strategies for engaging with market participants to create awareness and generate feedback
