• Advised and Structured and drafted all constitutive documents re: launching of the "IDLC Venture Capital Fund I" managed by IDLC Asset Management Ltd. The alternative investment fund is the first of its kind in Bangladesh and operating under the Alternative Investment Fund Rules, 2015 and regulated by the Bangladesh Securities and Exchange Commission;• Represented a private equity fund and fund manager (with over $9.5 billion under management) in divesting their investment in a Bangladesh entity in a Pre-IPO sale of the shares of such entity. In addition to leading the negotiations and deal documentation preparation for the transaction, have been involved in the process of obtaining prior approval from the Bangladesh Bank for outward remittance of the purchase price to the foreign divesting shareholder;• Advised and structured local operation of a company which provides solar power to households and businesses and design, manufacture and sale of an innovative charge controller for Solar Homes Systems, which manages interconnection between multiple users to a decentralized, low voltage DC micro-grid and facilitates electricity trade. Significant deal value;• Advised and structured the investment of a Japanese investment group in the real estate sector of Bangladesh which involved setting up holding company in foreign jurisdiction and acquiring shares of a local company and securing debt from financial institution. Significant deal value;• Represented a local shareholder in a joint venture transaction with a foreign shareholder for the acquisition of a license and operation of a Direct To Home cable business;• Represented a foreign private equity firm in two acquisitions – one of 25.1% of the equity in a holding company in Singapore (with an Financial Technology operating subsidiary in Bangladesh), and another of the same percentage stake in a energy related company in Bangladesh;

• Regularly advising banks and other non-bank financial institutions and preparing loan syndication, takeover of loans, raising debt by issuing bonds, and preparing documentation such as loan agreement, subordinate agreement, inter-creditor agreement, security agreement, trust deed, investment management agreement etc.;• Represented Jinko Solar, a Chinese company, in its due diligence review of corporate and, more importantly, land documents and preparation of various deal documents in connection with the possible acquisition and, after consideration of various red flag and unresolvable issues, advised the client not to proceed with the acquisition by the client of a third party’s rights in another 200 MWp (AC) Grid-tied Solar Power Plant in Bangladesh;• Represented a foreign private equity firm in a due diligence review of its proposed acquisition of a telecommunications related firm.
