I specialize in construction and real estate development, primarily acting on large-scale development projects in London (both debt and equity funded).My recent experience includes:In-HouseHead of legal for a developer undertaking several substantial development schemes in London, this has involved:• negotiating and agreeing all project documentation for the scheme (including building contracts, consultant appointments, pre-construction service agreements, bonds, parent company guarantees, facility agreements, access licences, over sail licences etc.); • negotiating and agreeing all disposals/ offtakes for the scheme (including agreement for leases/ development finance agreements with a registered provider, PRS investor, commercial tenants etc.); • providing strategic advice for the scheme;• reporting to the board of directors on negotiated documents, providing pragmatic legal advice considering the risk involved and the business’ commercial interests;• providing regular reports to the board of directors on the scheme (focusing on current and upcoming legal issues, to ensure decisions can be taken by the directors in a timely manner); and • managing external counsel and their respective budgets. This involved negotiating numerous building contracts, professional consultant appointments, parent company guarantees, payment guarantees, sub-contracts, collateral warranties, novations, and performance bonds etc.;• Acting for international banks, funding numerous developments throughout the UK (funding developments including: student accommodation, build to rent, retirement villages, office blocks, residential);• Acting for an investment fund, acquiring a portfolio of recently developed and mid construction assets throughout the UK. Reporting on the construction documentation to the satisfaction of both internal stakeholders and an external finance house; and• Acting for the developer of a major new office building, including drafting and negotiating the construction aspects of the agreement for lease, development agreement, the building contracts, professional consultant appointments, collateral warranties, and guarantees.
