AQS is a contractor and a developer for solar photovoltaic power plants, building automation systems and electric vehicles. Adrian is overall responsible for managing the finance, administration, procurement, logistics and HR functions of the Company. Adrian is also responsible for business development of commercial scale projects, including assessing their viability, negotiating and securing valid title, raising project or trade finance and commercial / legal structuring.

RG Capital Advisors Ltd is a boutique corporate finance firm located in Malta focusing predominantly on mergers, acquisitions and finance raising, with an industry focus on energy, infrastructure, real estate, technology, fintech and remote gaming. Adrian has closed a number of key transactions in the last few years including the sale of the Traffiko software business to Q-Free ASA (OSE:QFR), sale of Mybet Italia srl to Green Gaming Group plc and sale of TH Development Ltd to Hili Properties Ltd. Adrian has also assisted a number of fintech and payment solutions startups to obtain their financial institution licence from the Malta Financial Services Authority.

Adrian served on the board of directors and executive committee of the Group overseeing the operations of the group companies and advising on business development, risk management and performance improvement.

In his 11 years corporate finance experience with PwC, Adrian managed diverse client mandates including valuing, negotiating and structuring of complex transactions; strategic and organisational reviews; corporate and debt restructuring, finance raising and privatisations. In the last few years with the Firm, Adrian has increasingly specialised in project and infrastructure finance, where he advised Government on a number of high profile projects including the refinancing of over €300m bank loans for an energy company and the privatisation of its petroleum division, a proposed waste to energy plant, the proposed offshore wind projects and the Malta-Sicily interconnector. In these engagements, Adrian worked very closely with the appointed legal advisors and was heavily involved in contractual negotiations, and was often responsible for drafting parts of contractual agreements. In these engagements Adrian often delivered presentations at board level and to highest levels within Government, including to the Prime Minister; the Minister of Finance, the Economy and Investment; the Minister for Resources and Rural Affairs; and Minister for Infrastructure, Transport and Communications. In 2010 Adrian also advised a large property developer on its Initial Public Offering and was actively involved in the drafting of the Prospectus. Adrian also assisted a number of high profile family businesses in corporate restructuring and valuation of business divisions.

Adrian advised on a number of public sector infrastructure finance and privatisation projects on both the buy side and the sell-side. On the buy side, Adrian’s role included commercial structuring, preparation of tender documentation, bid adjudication, commercial negotiations with the preferred bidder and financial close processes. On sell-side or bid-side engagements, Adrian advised on financial structuring and played a leading role in negotiating limited recourse project finance, often by running funding competitions with up to 8 banks. On such bid-side engagements, Adrian also led the financial modelling work, supervising the work of junior financial modellers and coordinating specialist tax and accounting advice. Examples of key assignments:• Advised the UK Ministry of Defence on the sale of its fixed-wing and rotary aircraft maintenance operations. • Advised Cornwall and Northumberland County Councils on two separate waste PPP projects, leading commercial negotiations with the preferred bidders up to deal closure• Led the financial and commercial advice on Regenter’s ITN bid submission for a social housing PPP project in Newham. • Advised SITA UK Ltd in its BAFO bid for the Lancashire Waste PFI project.• Advised Michael McNamara on their preferred bidder commercial negotiations for an Irish prison PPP• Advised the UK Ministry of Defence on the financial evaluation and commercial negotiations for an £15bn training and accommodation PPP contract.• Advised the Iraqi National Communication and Media Commission on the issue of new mobile licences• Advised the UK Department of Health on commercial issues and deal closure on one the Manchester Independent Sector Treatment Centre (ISTC) schemes.

Key assignments• Advised Maltacom plc on its share valuation and value maximisation options in preparation for its second round of privatisation• Advised a major family business of the valuation of its operating subsidiaries and on the subsequent division of the holding amongst family members• Advised a national airline on its exit from an Italian operating subsidiary• Advised a local manufacturing company on its share valuation, cash flow projections and shareholder exit strategy• Advised a ferry company on raising €25m for the purchase of a new vessel• Supported a major group of companies in commercial and financial negotiations and finance raising for a hotel development project in France
