My practice is focused on commercial transactions, including cross-border deals.I advise clients on a variety of commercial transactions, mergers and acquisitions, legal and regulatory compliance, company formation, and foreign investment law and regulations in Saudi Arabia.

Re-engaged by Universal Weather and Aviation on a consultancy basis to support the legal and compliance functions with their data privacy, commercial contracts and M&A requirements. - Managed the creation and revision of policies, procedures and agreements to address evolving requirements found in the EU's GDPR and similar statutes and regulations globally.- Managed complex negotiations with clients and vendors to ensure data privacy compliance, and to secure data use rights across international borders.

• Commercial contracts:- Lead attorney for the company’s sales and supply contracts, spanning 22 international locations.- Conducted challenging negotiations of a wide variety of commercial contracts, including master service agreements, bid documents, supply contracts, IP license agreements, agency agreements, consulting agreements, and lease agreements, many of which were with large Fortune 500 companies.- Worked closely with internal business clients to create practical and business-oriented solutions to complex legal matters, while maintaining a balance between efficiency and risk management. - Overhauled the contract management function by implementing simplified policies and procedures. • Regulatory compliance – Provided support to the Chief Compliance Officer on anti-bribery and corruption, data privacy, interpretation of new regulations specific to the aviation industry, and due diligence for potential business transactions and relationships.• Employment and labour law – Advised the HR function on a variety of issues, including compliance with the Equal Employment Opportunity Commission (EEOC), Family Medical Leave Act (FMLA), wage and hour laws, data privacy, and employee terminations.• Mergers and acquisitions - Negotiated non-disclosure agreements, memorandums of understanding, letters of intent, multimillion-dollar stock purchase agreements, joint venture agreements, and other ancillary agreements for numerous international transactions.- Gained extensive experience structuring joint ventures in the Europe, Middle East and Africa region. • Litigation management – Oversaw the management of all of the company’s litigation, collaborating with outside counsel to achieve the most cost effective and timely results.• Policy writing – Drafted and implemented policies and procedures for contract administration and compliance due diligence processes.
