Assisted in-house counsel by performing due diligence on potential borrowers to evaluate the risk for future commercial real estate loans. Drafted and tailored numerous operating agreements for both lender and borrower special purpose entities for senior and mezzanine loans, including loans with future funding, and obtain leverage financing. Analyzed lease agreements between landlords and tenants and provided legal analysis to various questions such as property tax implications and default status. Extracted relevant business terms from loan documents in a clear and concise manner to allow effective communication across both the legal and loan origination team.

Assessed and performed IT general control testing to mitigate risk to the financial statement, evaluated whether controls were in compliance with SOX guidelines. Coordinated and performed SOC 1 and SOC 2 audits with multiple teams to ensure timely completion. Obtained and reviewed management policy documentation and procedures for compliance. Participated and led walkthroughs to assemble the control narrative and determine the scope of the SOX audit.
